Terms of Service

The legal agreement between RAG Chats, Inc. and the users of its services.

1. Acceptance of Terms

By accessing or using RAG Chats, you agree to be bound by these Terms of Service. You must be at least 18 years old, or have parental or guardian consent, to use the service. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization to these terms. If you do not agree, do not use the service.

2. Description of Service

RAG Chats provides a platform for building and operating retrieval-augmented chat assistants. The service may change over time. Some features may be offered on a beta basis and may be modified or removed. We do not guarantee 100% availability of the service.

3. Account Registration

  • You must provide accurate and complete information.
  • You may maintain one account per person or entity.
  • You are responsible for keeping your credentials secure.
  • You must notify us promptly of any unauthorized access.
  • We reserve the right to terminate accounts as described below.

4. Subscription and Payment

Pricing

  • Current pricing is published on our website.
  • Prices may change with notice.
  • Taxes are additional where applicable.

Billing

  • You authorize recurring billing for paid plans.
  • Failed payments may result in suspension of service.
  • Fees are generally non-refundable, except where required by law.
  • You may cancel through your account dashboard.

Free Tier

  • The free tier is subject to usage limits.
  • It may be modified or discontinued at any time.

5. Acceptable Use

You may:

  • Use the service for lawful business purposes.
  • Upload content that you have the rights to use.
  • Build applications using our API.

You may NOT:

  • Violate any laws or regulations.
  • Infringe intellectual property rights.
  • Upload malicious content.
  • Attempt to access other users’ accounts.
  • Reverse engineer the service.
  • Resell the service without authorization.
  • Use the service for spam or abuse.
  • Intentionally exceed rate limits.
  • Mine or scrape data from the service.

6. Your Content

Ownership

  • You retain ownership of the content you upload.
  • You grant us a license to process your content.
  • That license is limited to providing the service to you.

Responsibility

  • You are responsible for your content.
  • We may remove content that violates these terms.
  • You are responsible for maintaining your own backups.

AI Training

  • We do NOT use your private content to train AI models.
  • Aggregate, anonymized data may be used to improve our services.

7. Intellectual Property

Our IP

  • The service, software, and branding are our property.
  • No rights are transferred to you except the license to use the service.
  • You may not copy, modify, or distribute the service.

Feedback

  • You grant us the right to use feedback you provide.
  • You are not entitled to compensation for suggestions.

8. Third-Party Services

The service integrates with third-party services. Their terms apply to their services, and we are not responsible for their actions or content.

9. API Terms

  • Your API key is confidential and must be kept secure.
  • Rate limits apply to API usage.
  • You may not abuse or overload the API.
  • The API may change with notice.
  • Attribution may be required.

10. Widget Terms

  • The widget code is licensed, not sold.
  • You may use it only on domains you control.
  • You may not modify its core functionality.
  • You may not remove branding on the free tier.
  • You may not use it to scrape or abuse the service.

11. Disclaimers

The service is provided “as is” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI Accuracy

  • AI-generated responses may be inaccurate.
  • They are not a substitute for professional advice.
  • You should verify important information independently.

12. Limitation of Liability

To the maximum extent permitted by law, RAG Chats shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
Our total liability shall not exceed the amounts paid by you to RAG Chats in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold RAG Chats harmless against claims arising from:

  • Your content.
  • Your use of the service.
  • Your violation of these terms.
  • Your violation of third-party rights.

14. Termination

By You

  • You may cancel at any time via your dashboard.
  • Your data is deleted after a grace period.

By Us

  • We may terminate your access for violations of these terms.
  • We may terminate with notice for any reason.
  • Refunds, if any, are at our discretion.

Effect of Termination

  • Your access is revoked.
  • Your data may be deleted.
  • Provisions that by their nature should survive will remain in effect.

15. Dispute Resolution

Governing Law

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles.

Arbitration

  • Disputes are resolved by binding arbitration.
  • You waive the right to participate in a class action.
  • Small claims matters are excepted.

Venue

To the extent litigation is permitted, it shall take place in the courts located in San Francisco, California.

16. General Provisions

  • These terms constitute the entire agreement between you and us.
  • If any provision is unenforceable, the remainder stays in effect.
  • Our failure to enforce a right is not a waiver of it.
  • You may not assign these terms without our consent.
  • We are not liable for events beyond our reasonable control (force majeure).
  • Notices will be provided through the service or by email.
